UNEE TERMS & CONDITIONS

1. Introduction

These Terms & Conditions ("Terms") govern your access to and use of UNEE, including our mobile applications, website, community platform, event discovery services, ticketing services, and related products and services (collectively, the "Services").

UNEE is operated by The Web Innovative Solution Limited ("UNEE", "we", "our", or "us").

By creating an account, accessing, or using UNEE, you agree to these Terms, our Community Guidelines, and our Privacy Policy.

If you do not agree to these Terms, you should not use the Services.

2. Eligibility

You must meet the minimum age requirements applicable to your location and the Services you use.

You agree to provide accurate and current information when creating your account.

You are responsible for maintaining the confidentiality of your account credentials and for activities conducted through your account.

You must not create an account for another person without authorization.

UNEE may restrict or terminate accounts where we reasonably believe an account has been created or used fraudulently, unlawfully, or in violation of these Terms.

3. UNEE's Role

UNEE is a technology platform that helps people discover communities, communicate with other users, discover events, create communities, organize events, and purchase tickets where ticketing services are available.

Unless expressly stated otherwise, UNEE:

• •Does not organize, own, operate, manage, or supervise third-party events.
• •Does not own or control third-party communities.
• •Does not employ third-party event organizers or community leaders.
• •Does not guarantee the accuracy of information supplied by users or organizers.
• •Does not guarantee that an event will occur as advertised.
• •Does not guarantee the quality, safety, legality, or suitability of any event, venue, community, or user.
• •Does not guarantee that any particular event, community, user, or organizer will remain available.

UNEE provides technology and related services to facilitate discovery, communication, community management, and ticketing.

4. User Accounts

You are responsible for activity conducted through your account.

You must:

• •Keep your login information secure.
• •Not share your account with another person.
• •Notify UNEE if you believe your account has been compromised.
• •Provide truthful information.
• •Comply with these Terms and the Community Guidelines.

UNEE may suspend or terminate an account where necessary to protect users, the platform, or third parties, or where the account violates these Terms or applicable law.

5. Communities

Users may create or join communities on UNEE.

Communities may be public or private.

6. User Content

You retain ownership of content that you create and upload to UNEE, subject to the rights you grant under these Terms.

"User Content" includes posts, photographs, videos, audio, comments, polls, community content, event materials, messages, descriptions, and other material submitted to the Services.

By uploading or publishing User Content, you grant UNEE a worldwide, non-exclusive, royalty-free, transferable and sublicensable license to host, store, reproduce, process, adapt, format, display, perform, distribute, transmit, and make that content available through the Services.

This license is necessary for UNEE to operate, maintain, improve, distribute, and provide the Services.

Where reasonably necessary for technical, security, moderation, or platform-operational purposes, UNEE may modify, resize, compress, reformat, or otherwise technically process User Content.

You remain responsible for your User Content.

7. Copyright, Music & Third-Party Intellectual Property

You represent and warrant that you have the rights, permissions, licenses, consents, or other lawful authority necessary to upload, publish, transmit, display, or otherwise make available any content you submit to UNEE.

This includes rights relating to:

• •Sound recordings.
• •Musical compositions.
• •Photographs.
• •Videos.
• •Artwork.
• •Logos.
• •Trademarks.
• •Performances.
• •Written works.
• •Other copyrighted or proprietary material.

8. Copyright Complaints

If you believe content available through UNEE infringes your copyright or other intellectual property rights, you may contact us at:

Your complaint should contain sufficient information for UNEE to identify:

• •The copyrighted work or intellectual property concerned.
• •The allegedly infringing material.
• •Where the material appears on UNEE.
• •Your contact information.
• •Information reasonably demonstrating your rights in the material.
• •Any other information reasonably necessary for us to assess the complaint.

Where required by applicable law, UNEE may provide an appropriate process for affected users to respond to or challenge a removal.

9. Prohibited Conduct

You must comply with our Community Guidelines.

You must not use UNEE to:

• •Commit fraud.
• •Facilitate illegal activity.
• •Harass or threaten others.
• •Distribute malware.
• •Phish or steal credentials.
• •Impersonate others.
• •Infringe intellectual property rights.
• •Abuse payment or ticketing systems.
• •Manipulate platform metrics.
• •Circumvent platform security or restrictions.
• •Send spam.
• •Create fraudulent events.
• •Misrepresent events or communities.
• •Collect or misuse personal information.
• •Engage in conduct that creates an unreasonable risk of harm to users or third parties.

UNEE may take immediate action where necessary to protect users, third parties, or the platform.

10. Event Organizers

If you create, manage, promote, or operate an event through UNEE, you are an Event Organizer.

You acknowledge that you are responsible for your event.

This includes responsibility for:

• •Event accuracy.
• •Venue selection.
• •Venue permissions.
• •Licenses and permits.
• •Health and safety.
• •Security.
• •Crowd management.
• •Staffing.
• •Age restrictions.
• •Accessibility where required.
• •Performers and entertainment.
• •Music and intellectual property rights.
• •Advertising and promotional claims.
• •Compliance with applicable laws.
• •Ticket validity.
• •Entry and check-in.
• •Event cancellation or postponement.
• •Refund obligations.
• •Attendee communications.
• •Any injury, loss, damage, or dispute arising from the event, except to the extent caused by UNEE's own legally actionable conduct.

UNEE does not guarantee that an Event Organizer will successfully deliver an event.

11. Event Information

Event information displayed on UNEE may be supplied by Event Organizers.

Organizers are responsible for ensuring that event listings are accurate, complete, current, and not misleading.

UNEE may rely on information provided by organizers and is not responsible for inaccuracies originating from an organizer.

UNEE may remove or modify an event listing where necessary to protect users, correct platform issues, comply with law, or enforce these Terms.

12. Event Safety

UNEE does not own, operate, manage, or supervise third-party events unless expressly stated otherwise.

Attending an event is a decision made by the attendee.

Attendees should independently consider whether an event, venue, activity, or organizer is appropriate for them.

Event Organizers remain responsible for implementing reasonable safety, security, emergency, medical, venue, and crowd-management measures appropriate to their event.

UNEE may take reasonable platform-level measures when it becomes aware of credible safety concerns, including restricting or removing events, suspending organizers, or notifying appropriate authorities where required or reasonably necessary.

13. Ticketing

Where UNEE provides ticketing services, UNEE may facilitate the purchase and management of tickets on behalf of Event Organizers.

Unless expressly stated otherwise, the Event Organizer is responsible for delivering the event associated with the ticket.

A ticket purchase may create obligations between the attendee and the Event Organizer in addition to these Terms.

UNEE may establish separate ticketing, refund, cancellation, or payment rules for specific events or services.

14. Cancellations, Postponements & Refunds

Event Organizers are responsible for complying with applicable refund and cancellation obligations.

Where UNEE processes refunds or facilitates refunds on behalf of an organizer, the process may be subject to applicable payment-provider procedures and the specific terms applicable to the event.

UNEE does not guarantee a refund where the applicable legal or contractual responsibility for the refund belongs to the Event Organizer, except where UNEE has separately agreed to provide such refund.

15. Organizer Indemnification

To the maximum extent permitted by applicable law, an Event Organizer agrees to indemnify, defend, and hold harmless UNEE, The Web Innovative Solution Limited, and their officers, directors, employees, contractors, and agents from claims, losses, liabilities, damages, costs, and reasonable expenses arising out of or relating to:

• •The Organizer's event.
• •The Organizer's breach of these Terms.
• •The Organizer's negligence, misconduct, or unlawful conduct.
• •Injury, death, or property damage connected with the Organizer's event, except to the extent caused by UNEE's own legally actionable conduct.
• •Copyright, trademark, music, publicity, privacy, or other intellectual property claims arising from Organizer Content or the event.
• •Misleading or inaccurate event information.
• •Failure to obtain required permits, licenses, approvals, or permissions.
• •Refund or cancellation obligations attributable to the Organizer.
• •The Organizer's collection, use, or disclosure of attendee information in violation of applicable law.
• •Claims brought by attendees, vendors, performers, venues, or other third parties arising from the Organizer's event or conduct.

16. User Indemnification

To the maximum extent permitted by applicable law, you agree to indemnify and hold harmless UNEE and The Web Innovative Solution Limited from claims, losses, liabilities, damages, costs, and reasonable expenses arising out of:

• •Your breach of these Terms.
• •Your violation of applicable law.
• •Your User Content.
• •Your infringement of another person's rights.
• •Your fraudulent, negligent, or unlawful conduct.
• •Your misuse of the Services.

17. Third-Party Services

UNEE may integrate or link to third-party services, including payment providers, mapping services, analytics providers, authentication providers, venues, and other external services.

Third-party services may have their own terms and privacy policies.

UNEE is not responsible for the independent operation, availability, security, or policies of third-party services, except where applicable law provides otherwise.

18. Platform Availability

UNEE aims to maintain reliable Services but does not guarantee uninterrupted or error-free availability.

The Services may occasionally be unavailable because of:

• •Maintenance.
• •Updates.
• •Technical failures.
• •Security incidents.
• •Third-party service failures.
• •Network or telecommunications issues.
• •Events beyond our reasonable control.

We may modify, suspend, or discontinue features of the Services where reasonably necessary.

19. Moderation and Enforcement

UNEE may investigate suspected violations of these Terms or our Community Guidelines.

We may:

• •Remove content.
• •Restrict content visibility.
• •Remove events.
• •Restrict community features.
• •Restrict messaging.
• •Suspend accounts.
• •Suspend communities.
• •Remove organizer privileges.
• •Permanently terminate accounts.
• •Cooperate with lawful investigations.

UNEE does not have an obligation to monitor every piece of content or interaction on the platform.

Failure to take action against a violation does not constitute a waiver of our right to take action later.

20. Account Suspension and Termination

We may suspend or terminate your account where we reasonably believe:

• •You have violated these Terms.
• •You have violated our Community Guidelines.
• •Your conduct creates a safety or security risk.
• •You have engaged in fraud or abuse.
• •Your account is being used unlawfully.
• •Suspension is necessary to comply with legal obligations.

Where appropriate, we may provide an opportunity to appeal an enforcement decision.

21. Limitation of Liability

To the maximum extent permitted by applicable law, UNEE and The Web Innovative Solution Limited will not be responsible for losses, damages, claims, or liabilities arising primarily from matters outside our reasonable control, including:

• •The conduct of users.
• •The conduct of Event Organizers.
• •Third-party events.
• •Third-party venues.
• •User-to-user interactions.
• •Event cancellations or postponements caused by organizers.
• •Inaccurate information supplied by users or organizers.
• •Unauthorized content uploaded by users.
• •Third-party services.
• •Network failures or service interruptions.
• •Events occurring at or in connection with third-party events.

To the maximum extent permitted by law, UNEE's liability arising from your use of the Services will be limited to the amount you paid directly to UNEE for the relevant Service during the period permitted by applicable law.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited under applicable law.

Nothing in these Terms limits your statutory consumer rights.

22. No Guarantee of Events or Users

UNEE does not guarantee:

• •The identity of every user.
• •The conduct of users.
• •The accuracy of user-generated information.
• •The safety of third-party events.
• •The quality of events.
• •The performance of Event Organizers.
• •The availability of specific communities or events.
• •That interactions with other users will result in friendships, business relationships, or other outcomes.

You are responsible for exercising reasonable judgment when interacting with other users and attending events.

23. Personal Safety

When interacting with another user or attending an event, you should exercise reasonable caution.

Do not share sensitive personal information unnecessarily.

For in-person meetings, consider meeting in public places, informing someone you trust of your plans, and following appropriate safety practices.

If you believe you are in immediate danger, contact the appropriate emergency services or authorities.

UNEE is not an emergency response service.

24. Intellectual Property Owned by UNEE

The UNEE name, logo, trademarks, software, interface, design, technology, and other UNEE-owned materials are owned by or licensed to The Web Innovative Solution Limited.

Except as expressly permitted by UNEE, you may not:

• •Copy UNEE's software or design.
• •Reverse engineer the Services.
• •Use UNEE's trademarks without permission.
• •Scrape or systematically extract platform data without authorization.
• •Reproduce UNEE-owned materials for commercial purposes without permission.

25. Feedback

If you provide suggestions, ideas, recommendations, or feedback about UNEE, you agree that UNEE may use that feedback without restriction or compensation, provided that such use does not disclose your personal information in violation of our Privacy Policy or applicable law.

26. Changes to the Services

UNEE may add, remove, modify, or discontinue features from time to time.

We may also update these Terms when necessary.

Where material changes are made, we may provide reasonable notice through the Services or other appropriate channels.

Your continued use of UNEE after updated Terms become effective constitutes acceptance of the updated Terms, to the extent permitted by law.

27. Governing Law

These Terms are governed by the laws of the Federal Republic of Nigeria, without prejudice to any mandatory consumer protection or other rights that may apply to you under applicable law.

Where permitted by law, disputes relating to these Terms or the Services shall be subject to the jurisdiction of the appropriate courts in Nigeria.

29. Severability

If any provision of these Terms is determined to be invalid, unlawful, or unenforceable, that provision shall be interpreted or modified to the minimum extent necessary to make it enforceable where legally possible.

The remaining provisions will continue to apply.

30. Entire Agreement

These Terms, together with the UNEE Community Guidelines, Privacy Policy, and any additional terms applicable to specific UNEE Services, constitute the agreement between you and UNEE regarding your use of the Services, except where a separate written agreement applies.
